Article 1
The Association
The name of the Association shall be St. Teresa's
Parent - Teacher Association.
Article 2
Aims and Objectives
The aims and objectives of the Association shall be
as follows:
  1. To create and foster understanding and co-operation between Parents and Staff in the formation programme at the Seminary.
  2. To advice and co-operate with authorities of the Seminary and St. Teresa's Old Boys Association on matters which require joint action of the Association and the Authorities.
  3. To encourage collaboration with other societies, bodies, or organisations having objective similar to those of the Association.
  4. To stimulate interest and pride in the Seminary.
  5. To provide any necessary assistance to the Seminary either in response to a request from the staff or at the Association's own intiative.
Article 3
Membership and Dues
  1. The membership of the Association shall comprise the Parents or Guardians of Seminarians as well as members of staff of the Seminary.
  2. Parents and Guardians shall pay in respect of each Seminarian, membership dues at the rate fixed by the Association.
  3. The Association may impose special levies on members generally or members in a special category for a specific purpose.
  4. Any dues or levies under this article shall be fixed by a formal resolution adopted at a general meeting of the Association by a simple majority of members present and voting.
Article 4
The officers of the Association shall be as follows:
  • Chairperson
  • Vice Chairperson
  • Secretary
  • Vice Secretary
  • Treasurer
  • Financial Secretary
  • Co-opted Member(s)
Article 5
Election of Officers
  1. All officers shall be elected at the Association's Annual General Meeting except as provided for under section (2) of this Article.
  2. In the event of death, removal or resignation of an officer or other member of the Executive Committee, the Association, at its next ordinary meeting, may elect a member to fill such vacancy for the remainder of the term of office.
  3. The term of office of the Executive Committee and officers shall be two (2) years. An officer or other executive member shall be eligible for re-election for one more term.
Article 6
Duties of Officers
  1. The Chairperson
  • The Chairperson shall preside at all meetings of the Association and the executive commmittee and shall sign all approved and confirmed minutes of such meetings.
  • The Chairperson shall have a casting vote at all meetings of the Association and the executive committee.
  • The Chairperson shall have overall responsibility for the successful conduct of the affairs and business of the Association.
  • The Chairperson of the Association shall represent the Association on the Board of Governors.
     2.    Vice Chairperson
  • In the absence of the Chairperson the Vice Chairperson shall exercise all the rights and functions of the Chairperson.
     3.    The Secretary
    (a)  The Secretary shall record the minutes
              of all meetings of the Association and
              the Executive Committee.
    (b)  The Secretary shall
  • Issue notice accompanied by the agenda and supporting papers for all meetings of the Association and the Executive Committee.
  • Be responsible for the correspondence of the Association.
  • Submit reports on the activities of the Association as may be required from time to time; and
  • Have custody of the minutes, records and correspondence of the Association.
    (c)  The Secretary shall ensure the regular convening
          of meetings of the Association and the 
          Executive Committee. 
    4.    Vice Secretary
           In the absence of the Secretary the Vice Secretary
           shall act.
    5.    The Financial Secretary
  • The Financial Secretary shall be responsible for the custody and management of all the fiscal assets of the Association and keep proper books of accounts in respect of all finanacial transactions of the Association.
  • The Financial Secretary shall present to the Association an Annual Financial Report as well as termly statement of account of the Executive Committee.
    6.    The Treasurer
           The Treasurer shall keep all monies of the
Article 7
Executive Committee
  1. There shall be an Executive Committee to be composed of all officers together with the Rector  and Vice Rector.
  2. The Executive Committee shall meet at least once a term.
  3. Five (5) members shall form a quorum at any meeting of the Executive Committee, one of whom shall be the chairperson, the vice chairperson, the secretary or treasurer.




Article 8
  1. There shall be two (2) ordinary meetings of the Association (first and third terms) one of which shall be the Annual General Meeting.
  2. Except for amendment to the constitution, decisions at every meeting shall be by a simple majority of members present and voting.
  3. Parents who fail to attend meetings without permission will be made to pay a fine.
  4. Unless otherwise directed by the Association, all meetings of the Association and the Executive Committee shall be held at the Seminary.
  5. The quorum at ordinary meeting shall be fifteen (15) and the quorum at an Annual General Meeting shall be twenty (20) including the Executive.
  6. At the request of the Chairperson of the Association or the Rector of the Seminary, an extra-ordinary meeting may be held by the Association or the Executive Committee.
  7. In the absence of both the Chairperson and Vice Chairperson at any meeting of the Association or Executive Committee, a member designated by those present shall preside at the meeting.
Article 9
Financial Control
  1. The account of the Association shall be audited annually by an Auditor appointed at a General Meeting of the Association.The audited account and the Auditor's report shall be presented to the next annual meeting.
  2. A bank account shall be established and all cheques of the Association shall be signed by the Chairperson and countersigned by the Rector or the Financial Secretary.
  3. Part of the Association's fund may be invested in securities approved at a General Meeting or may be deposited in a savings upon the recommendation of the executive committee.
Article 10
Amendment to the Constitution
Amendment to this constitution shall require a two-third (2/3) majority of members of the Association present and voting at an Annual General Meeting. Notice of all proposed amendments shall be sent to the Secretary for consideration by the Executive Committee at least two (2)months prior to the Annual General Meeting, and copies of draft amendments shall be sent to all members of the Association prior to the Annual General Meeting.
Article 11
Transition Provisions
  1. Until the first election of officers under this constitution, all persons holding office before the coming into force of the constitution shall continue to hold office as if duly elected underr the constitution.
  2. The constitution shall be binding on all members of the Association.
Article 12
